8. Termination

8.1 Termination by Us

Class Action Waiver:

  • No class arbitration or class actions
  • No joining claims with other parties

10.3 Exceptions to Arbitration

Either party may seek relief in court for:

  • Injunctive or equitable relief
  • Small claims court matters
  • Emergency temporary restraining orders

10.4 Limitation Period

Claims must be filed within:

  • One (1) year from date cause of action accrued
  • Or earliest date you knew or should have known of claim
  • After one year, claims are permanently barred

11. General Provisions

11.1 Entire Agreement

These Terms, together with Privacy Policy and Disclaimer, constitute entire agreement between you and PipsJournal regarding use of services.

This agreement supersedes:

  • All prior oral or written agreements
  • Previous versions of Terms
  • Representations made outside these Terms
  • Conflicting terms on other platforms

11.2 Severability

If any provision is found invalid or unenforceable:

  • Remaining provisions continue in full force
  • Invalid provision shall be modified minimally to be enforceable
  • If modification impossible, provision severed
  • Severability does not affect enforceability of agreement

11.3 Waiver

Failure to enforce any provision does not constitute waiver of:

Waivers must be:

  • Signed by authorized representative
  • Specific to provision being waived

Single waiver does not constitute ongoing waiver.

11.4 Assignment

You may not assign or transfer rights or obligations under these Terms without our written consent.

  • Rights and obligations to affiliates
  • Rights in business sale or merger
  • Obligations to service providers

Assignment does not require your consent.

11.5 No Third-Party Beneficiaries

Only you and PipsJournal are parties to this agreement.

11.6 Force Majeure

We are not liable for failure to perform obligations due to circumstances beyond our control including:

  • Natural disasters (earthquakes, floods, storms)
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Power outages
  • Pandemics or health emergencies
  • Labor strikes or disputes

During force majeure events:

  • Obligations suspended to extent prevented
  • We will attempt to resume services when possible
  • No liability for delays or failures during event
